Further news about the proposed HCLGA and HGU merger

Presentations regarding the proposal to merge the Hertfordshire Golf Union and the Hertfordshire County Ladies Golf Association were held on 13th and 14th September 2017.  Club Managers/Lady Club Delegates were invited to attend either session.  The Powerpoint presentation, which gives the basic reasons to merge and the proposed structure, is now available on the HGU and HCLGA websites.  It is also proposed that the new merged body be incorporated into a Company Limited by Guarantee.  This is to give financial protection to all the clubs and members. 

The general feedback from these presentations was that the proposed merger is a good idea and there was no particular reason not to go ahead with arrangements for this to be put to the HGU and HCLGA members.

In order for this to proceed a Resolution will have to be put at General Meetings of both the Association and the Union.  For the Association this will be at the Annual General Meeting already scheduled for Monday 27th November at 7.30pm at Aldwickbury Golf Club.  The Union will call an Extraordinary General Meeting on the same evening.

The notices regarding both these meetings will be sent to Club Managers/Secretaries as well as to the ladies Club Delegates.  The latest dates this notice can be circulated is 21 days prior for the HCLGA  and 28 days prior for the HGU but every effort will be made to send the notice and proposed motion out before then.

The situation with the HCLGA AGM is a little complicated as the Committee for the following year is normally elected at the AGM.  If the Merger Proposal is agreed then no HCLGA committee will be required.  If the Merger Proposal is rejected by either side, then HCLGA will convene an Extraordinary General Meeting early in 2018 in order to elect the committee for the rest of the year.

Full details of the Proposal, Resolution, Proposed Rules and Articles of Association, together with voting procedures will be sent to HGU and HCLGA club representatives in due course.

The results from both votes will be announced at the same time in the evening. 

If the merger does go ahead, then the new body, to be known as Hertfordshire Golf Limited, will commence operations on 1st January 2018.  The HGU and the HCLGA will be wound up after all transfers and others matters have been resolved and probably not for at least 6 to 9 months.
